The NNC1 form is one of the three mandatory document that must be submitted to the Hong Kong Companies Registry when incorporating a new company (others being the articles of association and the business registration notice). NNC1 provides key details about the company, including its name, share capital, registered office address, and information about its directors and company secretary.

Two types of NNC1 forms (NNC1 and NNC1G) are used for incorporating companies in Hong Kong but they serve different purposes. Additionally, a NN1 form needs to be filled for a non-Hong Kong to incorporate in Hong Kong.

When Should You Fill in the NNC1, NNC1G or NN1?

For company registration in Hong Kong, there are two main types of companies:

Company limited by shares – Fill NNC1

This is the most common type, where ownership is divided into shares and shareholders’ liability is limited to their share contributions. It’s ideal for businesses seeking flexibility and capital growth.

Company limited by guarantee – Fill NNC1G

Company limited by guarantee is typically used for non-profits and charities. It has no share capital; instead, members guarantee a specific amount if the company is wound up, limiting their liability to that amount.\

Non-Hong Kong Company Application – Fill NN1

For a non-Hong Kong company to incorporate as a limited entity in Hong Kong, you will need to provide the NN1 form and the business registration notice.

NNC1 Form Information Required

When completing the NNC1 Form, you’ll need to provide the following details:

  • Company Name: Enter the proposed English and Chinese names, matching the Articles of Association.
  • Company Type: Choose between Private or Public; typically, “Private” is selected.
  • Registered Office: Provide the company’s proposed Hong Kong office address and email.
  • Presentor’s Reference: Include fax and telephone numbers for notification of certificate collection.
  • Share Capital & Initial Shareholdings: Specify share class (e.g., ordinary, preference).
  • State the total number of shares, currency, and capital to be subscribed.
  • Indicate the amount paid up or unpaid on the shares issued.
  • Founder Member: Must have at least one share; specify rights attached to shares (e.g., voting, dividends).
  • Founder Member Details: Provide name, address, country/region, and share capital subscription.
  • Company Secretary (Natural Person):mInclude name (in English and Chinese), previous names/aliases, address, email, and HKID/passport number.
  • Company Secretary (Corporate):mProvide name (in English and Chinese), address, email, and CR registration number.
  • Directors (Natural Person): Include name (in English and Chinese), previous names/aliases, residential address, email, and HKID/passport number.
  • Signing directors must sign the Consent to Act as Director; others can sign the NNC1 form or submit Form NNC3 within 15 days of incorporation.
  • Directors (Corporate): Provide name (in English and Chinese), address, email, and CR registration number.
  • Check the box for delivering Form NNC3 if applicable.
  • Director Requirements: Private companies need at least one natural person as a director.
  • Public companies require at least two directors, all of whom must be natural persons.
  • Directors should review the “Guide on Directors’ Duties” from the Companies Registry.
  • Founder Member Signature: The founder member must sign the NNC1 form.

NNC1G Form Information Required

When completing the NNC1G Form, you’ll need to provide the following details:

Company Information

  • Proposed English and/or Chinese company name
  • Type of company (limited by guarantee or unlimited)
  • Nature of business
  • Registered office address in Hong Kong
  • Contact information (email and phone)

Guarantee/Share Capital Details

  • If limited by guarantee: Number of members and their liability
  • If unlimited with share capital: Details of shares, classes, and initial shareholdings

Founder Member(s) Details: Names, addresses, and other identifying information

Company Secretary Details: Name, Hong Kong correspondence address, identification, and TCSP license (if applicable)

Director(s) Details: Names, correspondence addresses, identification, and consent to act as director

Important Declarations

  • Consent to act as director (from each director)
  • Statement of founder member (certifying the accuracy of information)

Additional continuation sheets may be needed if there are multiple founder members, company secretaries, or directors.

NN1 Form Information Required

When completing the NN1 Form, you’ll need to provide the following details:

Section 1: Company Name

Section 2: Place of Incorporation: State the country or jurisdiction where the company was originally incorporated.

Section 3: Principal Place of Business in Hong Kong

  • (a) Date of Establishment: Provide the date when the company first established a place of business in Hong Kong.
  • (b) Address: Give the full address of the company’s primary business location in Hong Kong.
  • (c) Email Address: Provide the company’s email address for correspondence.
  • (d) Hong Kong Contact Telephone Number: Give the company’s contact phone number in Hong Kong.

Section 4: Offices in the Place of Incorporation

Section 5: Authorized Representative in Hong Kong

Section 6: Company Secretary

Section 7: Director

Section 8: Company Constitution Documents

  • Provide the name of the company’s charter, statutes, memorandum and articles of association, or other documents that define its structure and operations.

Section 9: Certificate of Incorporation

  • Provide the name of the company’s certificate of incorporation or any equivalent document that proves its legal existence.

Section 10: Accounts

  • A. If applicable, provide details of the company accounts being submitted and the accounting period they cover.
  • B. If no accounts are being submitted, check the appropriate box explaining why (e.g., not required by law or the company is newly incorporated).

Additional Sheets

  • Use continuation sheets (A, B, C, D, E, or F) if there are multiple authorized representatives, company secretaries, or directors.
  • Use the PI-NN1 sheet to provide the full identification numbers and usual residential addresses of the authorized representatives, company secretaries, and directors who are natural persons. This information will be kept confidential.

Submission

Place all PI-NN1 sheets at the end when submitting the form.
